1. Acceptance of Terms
By accessing or using any services provided by Vorion LLC ("Vorion," "we," "us," or "our"), including our websites, APIs, platform, documentation, and related tools (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Services.
2. Description of Services
Vorion provides an AI agent governance platform that enables organizations to certify, monitor, and govern autonomous AI agents. Our Services include:
- The AgentAnchor platform for agent registration, trust scoring, and governance
- The BASIS open standard for AI trust and safety
- Open-source tools and SDKs licensed under Apache 2.0
- APIs for agent certification and compliance
- Documentation and educational resources
3. Accounts
You may need to create an account to use certain Services. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must provide accurate and complete information when creating an account and promptly update it if it changes. You must notify us immediately of any unauthorized use of your account.
4. Open-Source Components
Certain components of the Vorion ecosystem are released under the Apache License 2.0 or other open-source licenses as indicated in their respective repositories. Your use of open-source components is governed by the applicable open-source license, not these Terms, except where these Terms provide additional restrictions on use of the hosted Services.
Open-source licenses grant you the right to use, modify, and distribute the software in accordance with the license terms. Nothing in these Terms restricts rights granted to you under an applicable open-source license.
5. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable law or regulation
- Interfere with, disrupt, or overburden the Services or their underlying infrastructure
- Attempt to gain unauthorized access to any part of the Services
- Falsify or manipulate trust scores, certifications, or governance data
- Use the Services to develop AI systems intended to cause harm
- Reverse engineer, decompile, or disassemble any proprietary portion of the Services
- Resell or redistribute the hosted Services without our prior written consent
6. Intellectual Property
Vorion retains all rights, title, and interest in and to the Services (excluding open-source components), including all related intellectual property. Our trademarks, service marks, logos, and trade names may not be used without our prior written consent.
You retain all rights to your data and content submitted through the Services. By using the Services, you grant us a limited license to process your data solely for the purpose of providing the Services to you.
7. Data and Privacy
Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Services, you consent to the data practices described in the Privacy Policy.
8. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access to the Services. We may modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will make reasonable efforts to provide advance notice of material changes.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VORION LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO VORION IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).
10. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. VORION DOES NOT WARRANT THAT TRUST SCORES, CERTIFICATIONS, OR GOVERNANCE ASSESSMENTS GUARANTEE THE SAFETY OR RELIABILITY OF ANY AI SYSTEM.
11. Indemnification
You agree to indemnify, defend, and hold harmless Vorion LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses arising out of or related to your use of the Services or violation of these Terms.
12. Termination
We may suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination will survive, including intellectual property, limitation of liability, indemnification, and dispute resolution.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
